1. Introduction

Toolr, Inc. ("Toolr," "we," "us," or "our") is committed to protecting the privacy of our customers and the individuals whose data is processed through our workforce management platform. This Privacy Policy describes how we collect, use, disclose, and protect information in connection with our services.

This policy applies to the Toolr web application, mobile applications, and any related services (collectively, the "Service"). By using the Service, you agree to the collection and use of information in accordance with this policy.

2. Information We Collect

We collect information in three main categories:

Account Information. When you create a Toolr account, we collect your business name, contact information, billing address, and payment details. We also collect information about account administrators, including names and email addresses.

Business and Workforce Information. As part of delivering our workforce management service, we process information you enter into Toolr, including employee names, job titles, work schedules, shift records, job site assignments, GPS clock-in locations, and hours worked. This information belongs to your business and is processed on your behalf.

Usage and Technical Information. We automatically collect certain technical information when you access the Service, including device type, operating system, browser type, IP address, pages visited, features used, error logs, and session duration. This information is used to operate, maintain, and improve the Service.

Communications. If you contact us for support or other purposes, we collect the content of those communications and any information you provide.

3. How We Use Information

We use the information we collect for the following purposes:

Providing the Service. We use your information to operate the Toolr platform, process transactions, authenticate users, display workforce data, generate reports, and deliver the features you rely on.

Service Improvement. We use aggregated and anonymized usage data to improve reliability, identify and fix bugs, develop new features, and understand how the Service is used.

Customer Support. We use account and business information to respond to support requests, troubleshoot issues, and provide technical assistance.

Security and Fraud Prevention. We use information to detect, investigate, and prevent unauthorized access, security incidents, and other harmful activity.

Legal Compliance. We may use or disclose information when required to comply with applicable laws, regulations, court orders, or lawful requests from government authorities.

Communications. We may use your contact information to send service-related communications, including account notifications, security alerts, and product updates. You may opt out of marketing communications at any time.

4. How We Share Information

We do not sell your personal information or customer data. We do not share your information with third parties for advertising purposes.

We may share information in the following limited circumstances:

Service Providers. We work with third-party vendors who help us operate the Service, including cloud hosting providers, payment processors, customer support software, and analytics services. These vendors are contractually required to protect your information and may only use it to provide services to us.

Business Transfers. If Toolr is involved in a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction. We will notify you before your information is transferred and becomes subject to a different privacy policy.

Legal Requirements. We may disclose information if we believe in good faith that such disclosure is necessary to comply with applicable law, respond to legal process, protect the rights and safety of Toolr or others, or prevent fraud.

With Your Consent. We may share information for other purposes with your explicit consent.

Aggregated Data. We may share aggregated, de-identified data that cannot reasonably be used to identify you for research, analytics, or industry reporting purposes.

5. Data Retention

We retain your information for as long as your account is active or as needed to provide the Service. We also retain information as necessary to comply with legal obligations, resolve disputes, and enforce our agreements.

Account Data. We retain account and billing information for the duration of your subscription and for a period thereafter as required by applicable law and accounting regulations.

Workforce Data. Time and attendance records, shift data, and other workforce information are retained in accordance with your subscription plan and any applicable legal requirements for employment records. You may request deletion of workforce data in accordance with your data processing agreement.

Usage Data. Technical logs and usage data are typically retained for 12–24 months and may be anonymized thereafter.

When you close your Toolr account, we will delete or anonymize your information within 90 days, except where retention is required by law.

6. Data Security

We implement appropriate technical and organizational measures to protect your information against unauthorized access, disclosure, alteration, and destruction.

Encryption. All data transmitted between your device and our servers is encrypted using TLS. Sensitive data at rest is encrypted using AES-256.

Access Controls. Access to customer data is restricted to Toolr personnel who require it to perform their job functions. We maintain role-based access controls and review access privileges regularly.

Infrastructure. Toolr is hosted on enterprise-grade cloud infrastructure with physical security, redundancy, and continuous monitoring.

Incident Response. We maintain an incident response plan and will notify affected customers of security incidents as required by applicable law.

While we use industry-standard security practices, no method of transmission over the internet or electronic storage is 100% secure. We cannot guarantee absolute security.

7. Your Privacy Rights

Depending on your location, you may have certain rights regarding your personal information:

Access. You may request a copy of the personal information we hold about you.

Correction. You may request that we correct inaccurate or incomplete information.

Deletion. You may request deletion of your personal information, subject to certain exceptions for legal compliance and legitimate business purposes.

Portability. You may request that we provide your data in a structured, commonly used, machine-readable format.

Objection. You may object to certain types of processing, including direct marketing.

Restriction. You may request that we restrict processing of your information in certain circumstances.

California Residents. If you are a California resident, you have additional rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information we collect, the right to opt out of the sale of personal information (we do not sell personal information), and the right to non-discrimination for exercising your rights.

EEA and UK Residents. If you are located in the European Economic Area or United Kingdom, you have rights under the General Data Protection Regulation (GDPR) and UK GDPR. Our legal bases for processing include performance of a contract, legitimate interests, and compliance with legal obligations.

8. Cookies and Tracking

We use cookies and similar technologies to operate the Service, authenticate sessions, remember your preferences, and analyze how the Service is used.

Essential Cookies. These cookies are necessary for the Service to function and cannot be disabled. They are used for authentication, security, and basic functionality.

Analytics Cookies. We use analytics tools to understand how users interact with the Service. This helps us improve features and identify issues. Analytics data is aggregated and not used to identify individual users for advertising purposes.

Preference Cookies. These cookies remember your settings and preferences to provide a more personalized experience.

You can control cookies through your browser settings. Disabling essential cookies may affect your ability to use the Service.

We do not use advertising cookies or share data with advertising networks.

9. Third-Party Services

The Service may include links to third-party websites, integrations with third-party services, or features powered by third-party tools. This Privacy Policy does not apply to those third parties, and we encourage you to review their privacy policies.

Our third-party service providers include cloud hosting providers, payment processors, customer communication tools, and analytics services. Each provider is selected based on their security and privacy practices and is subject to contractual data protection obligations.

If you integrate Toolr with a third-party payroll system, HR platform, or other service, information may be shared with that service in accordance with your instructions and the applicable integration terms.

10. Children's Privacy

The Service is not directed to children under the age of 16, and we do not knowingly collect personal information from children under 16. If we learn that we have collected personal information from a child under 16, we will promptly delete that information.

11. International Data Transfers

Toolr is based in the United States. If you access the Service from outside the United States, your information will be transferred to and processed in the United States, where data protection laws may differ from those in your country.

For transfers of personal data from the European Economic Area, United Kingdom, or Switzerland to the United States, we rely on approved transfer mechanisms, including Standard Contractual Clauses adopted by the European Commission.

12. Changes to This Policy

We may update this Privacy Policy from time to time. We will notify you of material changes by posting the updated policy on this page with a new effective date and, where required by law, by providing additional notice such as an email notification.

We encourage you to review this policy periodically. Your continued use of the Service after changes become effective constitutes acceptance of the updated policy.
